zrsPOS — Terms of Service

Version 1.0 · 22 October 2026 · Contact: support@zrspos.com

These terms are the contract between the business that installs zrsPOS on its Shopify store ("you", the "Merchant") and the provider of zrsPOS ("zrsPOS", "we"). Our privacy policy explains how we handle personal data. Our Data Processing Agreement (DPA) is an annex to these terms.

1. Who we are

  • Provider: [Nome]
  • Address: [morada]
  • Tax number (NIF): [NIF]
  • E-mail: support@zrspos.com
  • Website: zrspos.com

2. For businesses only

zrsPOS is offered only to businesses, for use in their trade. You accept these terms by installing zrsPOS or confirming a plan. In doing so, you confirm two things:

  • you act for a business, and not as a consumer;
  • the person accepting has authority to bind that business.

Consumer protection rules that apply only to contracts with consumers do not apply to these terms.

3. What zrsPOS does, and what it does not

zrsPOS connects your Shopify POS to your own SAGE invoicing software. For each sale, refund, return or exchange at the till, zrsPOS asks your SAGE to issue the fiscal document. It then prints the receipt, keeps a working copy for reprints, and writes the document's reference to the Shopify order. It can also help you prepare Global Blue tax-free forms and close the till.

Your SAGE is the certified issuer. zrsPOS is not invoicing software certified by the Autoridade Tributária e Aduaneira (AT). It does not number, sign or communicate documents itself. Numbering, the ATCUD, the signature and the certification are your SAGE's.

You remain responsible for:

  • your tax and invoicing obligations, and for the content of the documents your SAGE issues;
  • configuring your SAGE: séries, document types, items, tax rates, customers, warehouses and payment methods. zrsPOS reads what your SAGE exposes and uses the settings you choose;
  • communicating your séries to the AT and keeping them valid;
  • what you do during a long outage of the internet, Shopify, your SAGE or zrsPOS. If a sale cannot be documented in time, you follow the recovery-document procedure (documentos de recurso) that the law, your SAGE partner or your accountant gives you. zrsPOS queues documents and retries them, but it cannot issue a document while your SAGE is unreachable;
  • checking the documents issued for your sales, and telling us promptly when something looks wrong;
  • keeping your fiscal archive. Your legal archive is your SAGE. zrsPOS's copies are a convenience for reprints;
  • your contracts with Shopify, your SAGE partner, Global Blue and your printer suppliers.

4. Getting started

To use zrsPOS you need three things:

  • a Shopify store with Shopify POS;
  • a SAGE that is reachable from the internet, with an API key from your SAGE partner;
  • for the optional features, a contract with Global Blue and supported printers.

Keep your credentials and the codes that pair your devices safe. You are responsible for what your staff and anyone using your accounts or devices do in zrsPOS.

5. Plans, trial and billing

Billing through Shopify. zrsPOS is billed by Shopify, on your Shopify invoice, through Shopify's billing system. You pick a plan inside the app and approve it in your Shopify admin. Nothing is charged before you approve it, and no sale is issued until a plan is confirmed.

Price. The current plans and prices are on the pricing page:

  • a price per location, every 30 days;
  • a number of included documents per location, shared by all your locations;
  • extra document packs, bought automatically when the included documents run out.

Prices are in euros and exclude VAT. Shopify adds the taxes that apply.

What counts. Every certified document issued through zrsPOS counts against your documents. That includes sales, refunds, returns, exchanges and test documents. Reprints, downloads and e-mails do not count.

Included documents and packs.

  • Included documents reset every 30 days and do not roll over.
  • Documents in a pack remain usable for 12 months.

Spending cap. When you approve the subscription, Shopify also asks you to approve a spending cap for extra packs. If the cap is reached, issuing continues. The packs wait as pending and are charged once you raise the cap.

Trial. Where a plan includes a free trial, it starts when you confirm the plan, and its length is the one shown when you confirm. During the trial, extra documents are free. Changing plan does not start a new trial. We may decline a new trial for a shop that has already had one.

Changes of plan or locations.

  • Adding a location, or changing plan, creates an updated subscription that you approve in Shopify.
  • Upgrades apply immediately, and Shopify prorates them.
  • Downgrades apply from the next period.
  • Every location that zrsPOS invoices for counts as a location.

If a payment fails.

  • For 14 days everything keeps working, and we remind you by e-mail.
  • After that, documents are still issued, but templates, Tax Free and new configuration become read-only until Shopify collects the payment.
  • We never stop a document for a sale already paid at the till because of a payment problem.

Price changes. A new price applies to your subscription only once you approve the updated subscription in Shopify. We will tell you at least 30 days before we ask.

Refunds. Fees already charged are not refunded, except where the law requires it or where we decide otherwise. Shopify processes any refund.

6. Cancellation, uninstalling and your data

You can cancel at any time in Shopify: cancel the subscription, or uninstall the app.

  • Issuing stops 24 hours after the subscription is cancelled. While the app stays installed, the document archive, reprints and downloads remain available.
  • If you uninstall zrsPOS, Shopify tells us 48 hours later. We then delete your configuration and working data, as set out in the privacy policy and the DPA. Some records stay for the legal retention period: our copy of the fiscal documents, without the customers' e-mail or phone, and our billing records.
  • The certified documents remain in your own SAGE, which is your legal archive. We keep no archive for you and offer no export after the uninstall. Take any reprints or downloads you need before you uninstall.
  • If you reinstall before the 48 hours are up, nothing is deleted.

7. Suspension

We may suspend zrsPOS for your shop, in whole or in part, in four cases:

  • if you seriously breach these terms;
  • if your use puts the security of the service or other merchants at risk;
  • if the law or an authority requires it;
  • if a subscription is cancelled or remains unpaid.

Where we can, we tell you first and give you a reasonable time to fix the cause. While zrsPOS is suspended, new sales may not be issued, and you must document them by other means (section 3).

8. Acceptable use

You will not:

  • use zrsPOS for anything unlawful, including issuing false or misleading fiscal documents;
  • try to reach another merchant's data, or test, probe or overload the service without our written agreement;
  • copy, resell, sublicense or reverse-engineer zrsPOS, except as far as the law allows;
  • use zrsPOS to send e-mail that is not a document or notice to your own customers;
  • put into zrsPOS personal data you have no right to process.

9. Availability and support

We run zrsPOS with reasonable care and skill, and we work to keep it available. We do not promise uninterrupted service and we offer no service-level agreement (SLA).

zrsPOS depends on services we do not control:

  • Shopify;
  • your SAGE and whoever hosts it;
  • your internet connection and printers;
  • Global Blue.

Maintenance may briefly interrupt the service. When a document cannot be issued or printed, zrsPOS keeps it in a queue and retries.

Support is by e-mail at support@zrspos.com, in Portuguese or English, on business days, on a best-effort basis. For questions about your SAGE itself (séries, document types, items), your SAGE partner is the right first contact.

10. Your data and personal data

  • Your data. You own your data and your documents. You allow us to process them to provide zrsPOS to you.
  • Personal data. For your customers' personal data, you are the controller and we are your processor, under the DPA. The DPA prevails over these terms on matters of personal data.
  • Your obligations. You are responsible for informing your customers and for having a lawful basis to process their data.

11. Intellectual property

zrsPOS belongs to us. That covers the software, the apps, the templates, the manual and the brand.

For as long as you have zrsPOS installed and keep to these terms, we give you a non-exclusive, non-transferable right to use zrsPOS for your business. You may not sell or pass this right to anyone else.

If you send us suggestions, we may use them freely.

Shopify, Sage and Global Blue are trademarks of their owners, and zrsPOS is not affiliated with them.

12. Liability

  1. The cap. Our total liability for all claims arising from zrsPOS or these terms in any 12-month period is limited to the fees you paid for zrsPOS in the 12 months before the event that gave rise to the claim.
  2. Losses we are not liable for:
    • indirect or consequential loss;
    • loss of profit, revenue or business;
    • loss arising from the content of the documents your SAGE issues on your configuration;
    • loss arising from séries not communicated to the AT;
    • loss arising from sales left undocumented during an outage or a suspension;
    • loss caused by Shopify, your SAGE, Global Blue, printers or your internet connection.
  3. What these terms never limit. Nothing in these terms excludes or limits liability:
    • for wilful misconduct (dolo) or gross negligence (culpa grave);
    • for death or personal injury;
    • that Portuguese law does not allow to be excluded or limited, in particular under article 809 of the Civil Code and article 18 of Decree-Law 446/85.
  4. Third-party claims. You will hold us harmless from claims by third parties caused by your breach of these terms or of the law, including the content of your documents and your use of your customers' data.

13. Changes

To the service. We may change zrsPOS. We will not remove a feature you pay for without telling you at least 30 days before.

To these terms. We will tell you about material changes to these terms at least 30 days before they apply. We do so by e-mail to your billing address or in the app. If you do not agree with the changes, you may cancel before they apply. If you keep using zrsPOS after that date, you accept the new terms.

14. Term and termination

These terms apply from installation until you uninstall zrsPOS. They also end when either party ends them under sections 6 and 7.

Some sections survive the end of these terms: section 6 on data, 11, 12, 15 and the DPA's retention rules.

15. General

  • Whole agreement. These terms, the privacy policy and the DPA are the whole agreement about zrsPOS.

  • Transfer. We may transfer this contract, with notice to you, in two cases:

    • to a company we control;
    • to whoever takes over the zrsPOS service.

    Your rights under these terms and the DPA continue unchanged.

  • Severability. If a clause is invalid, the rest still applies, and the invalid clause is replaced by the closest valid one.

  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.

  • Language. These terms exist in Portuguese and in English. If they differ, the Portuguese version prevails.

  • Law and courts. These terms are governed by Portuguese law. The courts of Lisboa have jurisdiction, without prejudice to mandatory rules on jurisdiction.

Annex — Data Processing Agreement
